Wu Changjiang "disappears" 30th: NVC Lighting Chongqing Business Puzzle

On May 25, 2012, NVC Lighting Holdings Co., Ltd. (02222.HK, hereinafter referred to as NVC Lighting), the largest lighting equipment manufacturer in China, issued an announcement stating that Wu Changjiang, the actual controller of the company, resigned as NVC Lighting for personal reasons. Chairman, executive director and chief executive officer, and resigned from all positions of NVC Lighting's subsidiaries.

After the resignation announcement, Wu Changjiang disappeared from the public view. His account was sold out by brokers due to insufficient margin, and sold 48.26 million shares in two contracts with a contract of 82.71 million Hong Kong dollars. At present, Wu Changjiang still holds about 19% of the shares of NVC.

Master of Enweixi
In 2009, Wu Changjiang decided to establish a NVC Lighting Rongchang Industrial Park in Rongchang County. The local leadership promised to give the company a relatively large discount, and allocated land to Wu Changjiang for production and construction.

Wu Changjiang found two natural person shareholders, invested 30 million yuan, and enrolled Enwei West in Rongchang Industrial and Commercial Bureau. The two shareholders, one is Liu Xiang and the other is Wu Xianming. Among them, Wu Xianming, Wu Changjiang’s Yuezhang, holds 49.67% of the equity of Enwei West.

On the surface, En Weixi has nothing to do with Wu Changjiang, but in fact, from the date of the company's incorporation, Enweixi is set up for the NVC lighting industry, reflected in the NVC lighting announcement. Enwei West is the largest connected trader of NVC Lighting and a supplier to the Chongqing base.

The local leadership of Rongchang promised to be honored in March 2009.

A certificate with the official seal of the Investment Promotion Bureau of Rongchang County and the Changzhou Sub-district Office of Rongchang County shows that Xia Zeliang gave 280 mu of land to Wu Changjiang, in exchange for the commitment of Enwei West to invest 500 million yuan in the Banqiao Industrial Park of Rongchang County.

Enwei West, which has no equity control relationship with NVC Lighting, plans to build NVC Lighting Rongchang Industrial Park, mainly for outdoor lighting, home lighting, commercial lighting and other projects. The project will be implemented in two phases. 140 acres.

In March 2010, Enwei West’s registered capital increased from 30 million to 50.08 million. At this time, NVC Lighting is preparing for Hong Kong listing. In order to cooperate with NVC Lighting, Enwei West's business scope has increased "LED street lights, LED tunnel lights, LED landscape lights and other LED products, solar lighting devices, wind and solar complementary lighting devices."

In July 2011, the legal representative of Enweixi was changed from Liu Xiang to Chen Jinlong; in October, the legal representative of Enweixi was changed to Wang Shaoling, general manager of NVC Lighting Research and Development System.

On October 20, 2011, a summary of the shareholder meeting on the enrollment of Enwei West finally confirmed that Wu Changjiang was the actual controller of the company. Although his father-in-law Wu Xianming was the largest shareholder, he was actually only a shareholder.

The minutes of the shareholders' meeting showed that Wu Changjiang presided over the shareholding allocation. 40% of the shares of Enweixi belonged to Wu Xianming; 24% of the shares were owned by Liu Xiang; 20% of the shares were given to Wang Shaoling; 6% of the shares were given to Ye Yong; Chen Jinlong and Yu Youqiang received a 5% stake.

Correspondingly, it is the upward adjustment of NVC's related transaction amount for Enweixi. On February 27, 2012, NVC Lighting released a notice of continuing connected transactions, claiming that Enweixi is a contract manufacturer of NVC Lighting, which produces and provides outdoor lighting according to NVC lighting design and technical standards. Stick to the brand of NVC lighting.

Earlier in NVC Lighting's prospectus, Ensche West signed the production framework agreement with NVC Lighting and paid the highest annual contract amount, which was $4.99 million in 2010; $5.99 million in 2011; and $9.88 million in 2012. In the announcement of February 27, 2012, NVC Lighting significantly increased the amount of related transactions in En-Wei West to US$19 million in 2012, with an increase of nearly 100%.

In 2012, En Weixi received nearly 20 million US dollars from NVC Lighting, equivalent to RMB 140 million.

Regrettably, in the announcement, NVC Lighting concealed the fact that Wang Shaoling and other NVC lighting executives had obtained a large stake in Enweixi in October 2010.

At the same time, NVC Lighting did not state in the announcement that Wu Changjiang was actually the actual controller of Enweixi.

Wanzhou Business
In legal terms, NVC Lighting has only one subsidiary in Chongqing, namely Wanzhou Production Base Chongqing NVC Lighting Co., Ltd. (hereinafter referred to as “Chongqing NVC”).

Since NVC has moved its headquarters to Chongqing, Wanzhou has become a very important production base for NVC Lighting. The outside world only knows that Wu Changjiang has invested a lot of money in Wanzhou and established a production base. However, Wu Changjiang still has another business in Wanzhou. Wu Changjiang established Chongqing NVC Real Estate Development Co., Ltd. in Wanzhou through his wife Wu Lian. (hereinafter referred to as "NVC Real Estate"), mainly engaged in real estate development and property management in the region.

The shareholders of NVC Real Estate are Wu Lian and Li Shanjie. The current registered capital is 80.18 million yuan. Wu Lian invested 48.108 million yuan, accounting for 60% of the shares. Li Shan's outstanding capital is 320.72 million yuan, accounting for 40% of the shares.

According to the report of the Three Gorges Metropolis Daily on November 28, 2009, Li Shanjie was a guide for Wu Changjiang to invest in Wanzhou, and he was also a friend for many years. With the help of Li Shanjie, NVC Lighting successfully entered Wanzhou to set up a production base. Due to the Three Gorges reservoir area, it has obtained a considerable degree of corporate income tax reduction. Li Shanjie also appeared in another Chongqing Enlin Electric Co., Ltd. (the next "Chongqing Enlin"), which was held by Wu Changjiang's mother-in-law Chen Min. Chongqing Enlin is also a related party of NVC Lighting, and has business dealings with NVC Lighting.
